SEC promotes meetings via remote communication amid pandemic – The Manila Times


Another section, Section 5, provides that a director or trustee present via remote communication in a meeting shall be considered present in determining a quorum. The corporate secretary shall also ensure that those present via remote communication are able to communicate effectively with each other. A resolution by a majority of the board may also authorize stockholders or members to vote through remote communication or in absentia. Section 13 says corporations shall issue their own internal procedures embodying the mechanisms for participation in meetings and voting through remote communication or in absentia. With these guidelines in place, we at the SEC hope that corporations can proceed with their meetings without exposing their stakeholders to Covid-19.
