Independent directors meet at board meetings once a quarter for a few hours and then do not meet for another three months. How can the other directors determine whether the person is able to function effectively as a member of a team? The other requirement of determining whether the person has contributed effectively to the entity and in board meetings is very ambiguous. Should one or two independent director find that the chairman is not taking into account the best interests of the stakeholders, will the independent director verbalise it?
